Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and ChamsDel Online LLC ("ChamsDel," "we," "our," or "us"), the company that operates Sound AI Advisors at soundaiadvisors.com (the "Site"). They govern your use of the Site and the free tools we make available on it.

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you don't agree, please don't use the Site.

Two important scope notes up front:
  1. The Site is informational. It is not regulatory, legal, security, audit, financial, or compliance advice.
  2. Any paid consulting, fractional-leadership, or implementation engagement we perform for you is governed by a separately signed engagement letter, master services agreement, or Statement of Work — not by these Terms. If there is a conflict between these Terms and that signed agreement, the signed engagement document controls for that engagement.

1. Who We Are and What the Site Offers

Sound AI Advisors is the practice of ChamsDel Online LLC. On this Site we make available, free of charge:

  • Descriptive information about sample AI workflows (e.g., vendor security review automation, customer security questionnaire response drafting, tier-1 customer support, KYC/KYB document processing). These are illustrative starting templates, not fixed products.
  • An AI Readiness Assessment — a short questionnaire that produces an AI-generated score and written report you can request by email.
  • A request form for early access to the AI Agent Implementation Playbook.
  • A scheduling link for a free 30-minute consultation (hosted on a third-party scheduling tool).

Beyond the Site, we offer paid services such as discovery, scoping, fractional AI leadership, and production AI implementation engagements (typically $25,000–$50,000 per project, 4–8 weeks). Those services are not sold or provisioned through the Site; they require a separate signed agreement before any work begins. The Site's references to typical price ranges, timelines, and deliverables are good-faith estimates, not binding offers.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself and, if you are using the Site in connection with a business, your organization. The Site is intended for business decision-makers, not consumers.

3. The Free Tools — Important Disclaimers

3.1 AI-generated output is informational only

The AI Readiness Assessment report is generated using a third-party large-language-model API (Anthropic) and reflects the information you submitted plus the model's general training. It is not:

  • Legal, regulatory, compliance, audit, security, tax, accounting, or investment advice
  • A substitute for engagement with qualified professionals or your own internal risk and compliance functions
  • A guarantee of any outcome, including readiness for SOC 2, PCI DSS, HIPAA, GDPR, or any other framework

AI output can be incomplete, out of date, or wrong. You are solely responsible for reviewing the output and for any decisions or actions you take based on it.

3.2 No client relationship

Using the free tools, requesting the playbook, or having an introductory call does not create a consulting, advisory, attorney-client, fiduciary, or any other professional relationship between you and ChamsDel. Such a relationship is created only by a signed engagement document referenced in Section 1.

3.3 Sample workflows are illustrative

The example workflows described on the Site are illustrative. Pricing, scope, timeline, and feasibility for your specific environment are determined only during a paid engagement, after diagnostic work in your actual systems and against your actual constraints.

4. Your Submissions

When you submit information to the Site (e.g., in the assessment or playbook intake), you represent that:

  • The information is accurate to the best of your knowledge, and you are authorized to share it
  • It does not include confidential information of any third party that you are not authorized to disclose
  • It does not include personal data of other individuals without lawful basis
  • It does not include trade secrets, regulated data (PHI, cardholder data, classified information), or anything else that you wouldn't be comfortable sharing in a first-meeting business context

You grant us a worldwide, non-exclusive, royalty-free license to use the information you submit to operate the Site, generate your requested report, follow up with you, and improve our services in aggregate or de-identified form. We will not publish identifiable details from your submissions without your consent.

5. Acceptable Use

You agree not to:

  • Violate any applicable law, regulation, or third-party right
  • Submit content that is unlawful, harmful, defamatory, harassing, or deceptive
  • Probe, scan, or test the vulnerability of the Site, or breach security or authentication measures
  • Use automated systems (bots, scrapers, crawlers) to extract data or generate large volumes of assessment submissions, except for well-behaved indexing by major search engines
  • Reverse engineer or attempt to extract the underlying prompts, system instructions, or model configuration used to generate the assessment report
  • Use the Site or our outputs to develop a competing product, service, or training dataset
  • Impersonate any person or organization, or misrepresent your affiliation
  • Use the Site in any way that could damage, disable, or impair it, or interfere with any other party's use of it

6. Intellectual Property

The Site, including its text, graphics, design, code, sample workflow descriptions, assessment questions and scoring logic, playbook materials, and the Sound AI Advisors and ChamsDel brand marks, are owned by ChamsDel Online LLC or its licensors and are protected by U.S. and international intellectual property laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site and the free tools for your own internal business evaluation purposes. The AI-generated report produced for you may be used within your organization for internal decision-making; you may not resell it, publish it in full, or use it to market a competing service.

Any feedback you give us about the Site or our services may be used by us without obligation or compensation to you.

7. Third-Party Services

The Site links to and depends on third-party services, including hosting (Vercel), email delivery (Resend), the LLM API used to generate reports (Anthropic), and scheduling (Calendly). We are not responsible for those services' availability, content, terms, or privacy practices. Your use of those services is governed by their own terms and policies.

8. Payments

No payments are processed through the Site. Any fees for paid consulting or implementation engagements are invoiced and collected separately under the signed engagement document for that engagement.

9. Confidentiality of Initial Discussions

We treat business context you share with us in good faith on a confidential basis — that is, we do not publicly disclose it. This is a professional courtesy, not a binding NDA. If your matter requires an NDA, please tell us before sharing sensitive information, and we will agree to one in writing before we go further.

10. Disclaimers

THE SITE, THE FREE TOOLS, AND ANY OUTPUTS (INCLUDING THE AI READINESS ASSESSMENT REPORT, THE PLAYBOOK, AND ANY EMAIL FOLLOW-UPS) ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR QUIET ENJOYMENT.

We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, or that any AI-generated output will be accurate, complete, current, or suited to your specific situation. You acknowledge that AI systems can produce inaccurate, biased, or otherwise flawed output, and you accept the risk of relying on such output.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CHAMSDEL ONLINE LLC, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, BUSINESS, GOODWILL, OR REGULATORY OUTCOMES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR THE FREE TOOLS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THE FREE TOOLS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100). The limits in this Section do not apply to liability that cannot be excluded under applicable law. Liability arising from a paid engagement is governed by the limitation-of-liability provision in that engagement's signed agreement, not this Section.

12. Indemnification

You agree to defend, indemnify, and hold harmless ChamsDel Online LLC and its owners, officers, employees, contractors, and licensors from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Site, (b) your violation of these Terms, (c) your violation of any law or third-party right, or (d) any content you submit through the Site.

13. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason — including if we reasonably believe you have violated these Terms. Sections that by their nature should survive termination (including IP, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive.

14. Changes to the Site or the Terms

We may add, change, or discontinue features of the Site at any time. We may also update these Terms; when we do, we will update the "Last updated" date and, for material changes, take reasonable steps to highlight them. Your continued use of the Site after a change means you accept the updated Terms.

15. Governing Law and Disputes

These Terms and any dispute arising out of or related to them or the Site are governed by the laws of the State of Nevada, United States, without regard to its conflict-of-laws principles. The federal and state courts located in Clark County, Nevada will have exclusive jurisdiction, and you consent to personal jurisdiction and venue in those courts. To the extent permitted by law, each party waives any right to a jury trial.

16. Miscellaneous

These Terms, together with our Privacy Policy and any signed engagement document covering paid work, are the entire agreement between you and ChamsDel regarding the Site. If any provision is held unenforceable, the rest will remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them in connection with a sale, merger, or reorganization. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between us.
